Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you and Treatlly (“we”, “us”, “our”, or the “Platform”). By accessing or using the Treatlly platform — including the multi-tenant doctor appointment booking system, white-label doctor applications, patient portals, SMS services, payment processing, and related APIs — you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Platform.

Important: Treatlly is a technology infrastructure and service provider only. We provide a SaaS platform that enables doctors, clinics, and hospitals (“Tenants”) to manage their appointment scheduling and practice operations. We do not provide, endorse, or guarantee any medical treatment, medical advice, diagnosis, doctor availability, appointment time slot availability, or the quality of healthcare services rendered by any Tenant. All medical services are provided independently by the respective Tenant, and we bear no responsibility or liability in connection therewith.

Definitions

  • “Tenant” means any doctor, clinic, hospital, or healthcare organisation that subscribes to and uses the Treatlly platform to manage their practice and appointment bookings.
  • “Patient” or “End User” means any individual who uses the Platform to book appointments, view doctor profiles, or interact with a Tenant’s services through the Platform.
  • “Platform” means the Treatlly website, web application, APIs, white-label doctor applications, patient booking portals, and all related technology services.
  • “Services” means the technology infrastructure, appointment booking software, payment collection and settlement facilitation, SMS notifications, and related features provided by Treatlly to Tenants and Patients.

Eligibility & Account Registration

  • Tenants must be legally registered healthcare practitioners, clinics, or hospitals operating in India with valid professional registrations (e.g., MCI/NMC/State Medical Council registration).
  • Patients must be at least 18 years of age. Appointments for minors must be booked by their parent or lawful guardian.
  • You are responsible for maintaining the accuracy of your account information and ensuring that only authorised personnel access role-based dashboards and administrative features.
  • You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account.

Nature of Services & Disclaimers

  • Treatlly is an infrastructure and technology service provider. We provide the software platform (SaaS) to Tenants for managing their practice operations, appointment scheduling, and patient interactions.
  • We do not provide medical services, treatment, advice, or diagnosis of any kind. We are not a healthcare provider and shall not be held liable for any medical outcomes, treatment decisions, or advice provided by any Tenant.
  • We do not guarantee the availability of any doctor, the availability of any specific time slot, the punctuality of any appointment, or the quality of any medical consultation or treatment provided by a Tenant.
  • The relationship between Tenants and their patients is independent and governed by the Tenant’s own terms, policies, and applicable healthcare regulations. Treatlly is not a party to any such relationship.
  • We provide the technology platform to both Tenants and Patients “as is” and “as available”. We do not warrant uninterrupted or error-free operation of the Platform at all times.

Subscription, Fees & Billing

  • All Tenant subscriptions are billed on a recurring basis (monthly or annually) as selected during onboarding. There are no per-patient commissions or hidden charges.
  • Free trial periods (if offered) are time-limited. Access to the Platform will be restricted upon trial expiry unless the Tenant upgrades to a paid subscription.
  • All subscription fees are exclusive of applicable Goods and Services Tax (GST) under the Central Goods and Services Tax Act, 2017, unless expressly stated otherwise.
  • We reserve the right to modify pricing with 30 (thirty) days’ prior written notice to Tenants. Continued use after such notice constitutes acceptance of the revised pricing.

Payments, Collection & Settlement

  • Treatlly collects appointment fees from Patients on behalf of Tenants using Razorpay as the payment gateway. All payment transactions are processed securely through Razorpay’s PCI-DSS compliant infrastructure.
  • All payments collected on behalf of Tenants for appointments shall be automatically settled to the Tenant’s registered bank account or UPI as per Razorpay’s standard settlement timeline. Treatlly does not hold, delay, or modify Tenant funds beyond what is determined by Razorpay’s settlement cycle.
  • Treatlly is not liable for any payment processing errors, failed transactions, settlement delays, or issues arising from Razorpay’s services. Such matters are governed by Razorpay’s terms of service.
  • Tenants are solely responsible for maintaining accurate bank account or UPI details for settlement purposes. Treatlly shall not be liable for failed settlements due to incorrect banking details provided by the Tenant.

Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable Indian law, including but not limited to the IT Act, 2000, the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002, and the Consumer Protection Act, 2019.
  • Misuse OTP APIs, SMS gateways, or any other Platform feature for spam, phishing, or any fraudulent activity.
  • Attempt to gain unauthorised access to any other Tenant’s data, accounts, or systems.
  • Upload patient data for any purpose other than legitimate medical workflows, or store data that violates any person’s privacy rights.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
  • Interfere with or disrupt the integrity or performance of the Platform or third-party services integrated therein.

Intellectual Property

All intellectual property rights in the Platform — including but not limited to software, code, design, logos, trademarks, and content — are and shall remain the exclusive property of Treatlly. Nothing in these Terms transfers any intellectual property rights to you. Tenants retain ownership of their patient data and practice information, and grant Treatlly a limited, non-exclusive licence to process such data solely for the purpose of providing the Services.

Data Residency & Compliance

Treatlly hosts all personal data and health information on servers located within India. We maintain audit logs, role-based access controls, and encrypted storage to support regulatory compliance. Tenants remain the data controllers (data fiduciaries) of their patient data and are responsible for ensuring compliance with applicable healthcare regulations, including patient consent requirements.

Limitation of Liability

  • The Platform is provided on an “as-is” and “as-available” basis. We expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • To the maximum extent permitted by applicable Indian law, Treatlly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or in connection with the use or inability to use the Platform.
  • Our total aggregate liability under these Terms shall be limited to the total fees paid by the Tenant to Treatlly in the six (6) months immediately preceding the event giving rise to the claim.
  • Treatlly shall not be liable for any acts, omissions, negligence, or malpractice of any Tenant, including but not limited to misdiagnosis, delayed treatment, or any harm suffered by a Patient.

Indemnification

You agree to indemnify, defend, and hold harmless Treatlly, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any dispute between a Tenant and a Patient regarding medical treatment, refunds, cancellations, or any other matter. Tenants specifically agree to indemnify Treatlly against any claims from Patients relating to medical services, appointment issues, refund disputes, or cancellation disputes.

Termination

  • Either party may terminate the Tenant subscription by providing 30 (thirty) days’ prior written notice to the other party.
  • We may immediately suspend or terminate access if you breach these Terms, engage in fraudulent activity, or if required by applicable law.
  • Upon termination, Tenants may request a full data export within 60 (sixty) days. After this period, all data shall be permanently deleted, except where retention is required under applicable law.
  • Any pending settlements for payments collected on behalf of the Tenant shall be processed as per Razorpay’s settlement timeline even after termination.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and all applicable rules and regulations thereunder. Any dispute, controversy, or claim arising out of or in connection with these Terms between Treatlly and any Tenant (doctor, clinic, or hospital) shall be subject to the exclusive jurisdiction of the Civil Courts at Patna, Bihar, India.

Amendments

We reserve the right to amend these Terms at any time. Material changes will be notified to Tenants via email or a prominent notice on the Platform at least 15 (fifteen) days prior to the effective date. Continued use of the Platform after the effective date constitutes your acceptance of the amended Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
